Agreement
These Terms of Service (the “Terms”) govern your access to and use of PanelPrep (the “Service”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Eligibility
You must be at least 16 years old and able to form a binding contract. You are responsible for compliance with applicable laws.
Accounts
- You are responsible for your account and for safeguarding your credentials.
- You agree to provide accurate information and keep it up to date.
- We may suspend or terminate accounts that violate these Terms.
Subscriptions & Billing
- Paid plans renew automatically until canceled. You can cancel anytime in the customer portal.
- Payments are processed by Stripe. Taxes may apply.
- We may change plan features or pricing with reasonable notice. Changes apply on your next billing cycle.
Free Tier & Fair Use
We may offer a free tier with usage limits (e.g., question/session quotas). We may restrict or rate-limit excessive or abusive use to protect the Service.
AI Features & Feedback
The Service uses AI to generate suggestions, questions, and feedback. AI outputs can be inaccurate or incomplete; use your own judgment. The Service does not provide legal, medical, or professional advice.
User Content
- You retain ownership of content you submit (e.g., practice answers, audio). You grant us a non-exclusive, worldwide license to host, process, and display that content solely to operate and improve the Service.
- Do not upload content you do not have rights to, or that is unlawful or harmful.
Prohibited Uses
- Reverse engineering; scraping at scale; circumventing rate limits; attempting to access another user’s data.
- Uploading malware or engaging in security breaches.
- Using the Service in violation of applicable laws or third‑party rights.
Termination
You may stop using the Service at any time. We may suspend or terminate access for violations of these Terms or to protect the Service or its users. Upon termination, certain sections (e.g., disclaimers, limitation of liability) will survive.
Refunds
Unless required by law, fees are nonrefundable once billed, except as stated in our policies or a specific promotion. Please contact support for assistance.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR‑FREE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PANELPREP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR LOSS OF PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY 12‑MONTH PERIOD WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO PANELPREP FOR THE SERVICE IN THAT PERIOD (IF ANY).
Indemnification
You agree to defend, indemnify, and hold us harmless from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service or your violation of these Terms.
Changes
We may update these Terms to reflect changes in our Service or legal requirements. If changes are material, we will provide notice as appropriate. Your continued use constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of your primary business jurisdiction (if provided) or otherwise the laws applicable where PanelPrep operates, without regard to conflict of laws principles.
